I have a 2002 F350 With automatic transmission And an exhaust brake. It won't let me disengage the overdrive. Is there a Use for the disengage switch? Could this actually be a problem with the exhaust brake because overdrive needs to be disengage in order for the exhaust brake to be engaged?

The disengage switch is for when you have it loaded down hard, to prevent damage to the trans by overheating it in overdrive. It isn't related to the exhaust brake issue most likely. Are there any powertrain codes? If so please list the code numbers. Also would help to know which engine you have.
